Effective 2026. These Terms govern access to and use of Equisect. Please also read our Disclaimer (what our figures are and aren't) and our Privacy Policy (how we handle your data) — both are incorporated into these Terms by reference.

1. Acceptance of these Terms

By creating an account, signing an Order Form for a paid plan, or otherwise accessing Equisect, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization, and "you" below means that organization.

2. The service

Equisect is software that projects a private-equity fund's remaining cashflows from our own proprietary fund dataset and modeling, and computes an illustrative fair price as a percentage of NAV, together with related analytics (return sensitivity, projection bands, portfolio-level roll-ups, and optional AI-drafted IC-memo narrative). It is research and analytics software, not a broker-dealer platform, an investment adviser, or a marketplace — see our Disclaimer for what that means in practice. We may add, change, or retire individual models, surfaces, or features at any time; we'll make a reasonable effort to give active subscribers advance notice of a change that materially reduces what their current plan includes.

3. Eligibility & accounts

Equisect is offered for business and professional use by institutional investors, secondary buyers, advisers, and similar professional users — not as a consumer product. You must provide a real, accessible email address for your account; we use passwordless sign-in codes sent to that address, so keeping it secure is keeping your account secure. You're responsible for all activity under your account and, on a multi-seat plan, for each seat you provision. Don't share an individual seat's sign-in access across more people than your plan's seat count, and don't create multiple accounts to work around a fair-use or seat limit.

4. Plans, your contract & billing

Every paid plan is sold as an annual subscription arranged directly with our sales team — there is no self-serve checkout, and we never see or store your card or bank account details. When you subscribe, you and we sign an Order Form (or equivalent order confirmation) that states the specific plan tier, price, seat count, billing cadence, the contracting legal entity on our side, and any plan-specific terms for your account. That signed Order Form is part of your contract with us and controls over this page for anything it specifically addresses — these Terms are the general rules every plan shares; the Order Form is what makes your particular subscription concrete. Plans auto-renew at the then-current price for your tier unless either party gives notice of non-renewal before the renewal date, as stated in your Order Form. 5. Fair use & usage limits

Each plan includes a fair-use allowance (funds priced per day, memo sections drafted per day, and similar limits), shown on Pricing and enforced automatically. These limits exist so no single account can degrade the service for others sharing the same infrastructure; they are not a hard cap on the value you're expected to get from your subscription, and we're happy to discuss a higher-volume arrangement if your normal use runs into them regularly.

6. Acceptable use

You agree not to: scrape, crawl, or bulk-extract data from Equisect other than through the documented API your plan includes and within its rate limits; reverse-engineer, decompile, or attempt to extract the underlying models or dataset; resell, sublicense, or otherwise provide Equisect's output as a standalone data feed or competing product to a third party; circumvent seat, plan, or fair-use limits; or use the service to build a directly competing product. We may suspend an account engaged in conduct that threatens the security, availability, or integrity of the service for other users, with notice where practicable.

7. Data sources

Every figure in this product is derived from Equisect's own proprietary fund dataset, built and maintained in-house. This dataset is not licensed from any third-party vendor, and is not resold, shared, or otherwise made available outside Equisect.

A small set of macro-economic context features (inflation, GDP, unemployment, and private-fund asset levels) are sourced from FRED®, the Federal Reserve Bank of St. Louis's public economic data service. 8. Intellectual property

Equisect, its underlying models, dataset, software, and documentation are proprietary and remain ours (or our licensors'). Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable license to access Equisect and use its output (priced results, analytics, exported PDFs/CSVs) internally, for your own investment analysis and decision-making. That license doesn't include the right to redistribute Equisect's output as a data product to anyone outside your organization, or to use it to train or evaluate a competing model. You keep whatever rights you already had in data you upload to Equisect (e.g. a Portfolio-upload CSV) — we don't claim ownership of it.

9. Confidentiality of your data

Fund-level data you upload or enter (Portfolio uploads, memo notes, diligence text, and similar account-specific content) is treated as your confidential information. We use it only to provide the service to your account, we don't use it to train models made available to other customers, and we don't share it with anyone outside Equisect except where our Privacy Policy describes a narrow operational reason to (e.g. a transactional-email or backup provider acting on our behalf).

10. Disclaimer

Equisect is research software, not investment advice, and nothing on this platform is a recommendation, quote, or offer. See our full Disclaimer for what our figures are, what they aren't, and why you should never rely on them without your own independent judgment and, where appropriate, professional advice.

11. No warranty

The service is provided "as is" and "as available," without warranty of any kind, express or implied, including as to accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, or available at any particular time.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, arising out of or related to these Terms or the service, even if advised of the possibility. To the maximum extent permitted by law, our total liability arising out of or related to these Terms is limited to the fees you paid us for the service in the 12 months preceding the claim. Nothing in this section limits liability that can't be limited under applicable law.

13. Indemnification

You agree to indemnify and hold us harmless from third-party claims arising from your breach of these Terms, your misuse of the service, or content you upload that infringes another party's rights or violates applicable law.

14. Term & termination

These Terms apply for as long as you have an account or an active subscription. We may suspend or terminate an account for a material breach of these Terms (including Section 6, Acceptable use) that isn't cured within a reasonable period after notice. You may stop using the service and request account deletion at any time — see "Data & privacy" in Account or our Privacy Policy. Termination doesn't cancel payment obligations already accrued under your Order Form.

15. Changes to these Terms

We may update these Terms from time to time; the effective date above reflects the latest revision. For an active paid subscription, we'll make a reasonable effort to notify you of a material change before it takes effect. Continuing to use Equisect after a change takes effect means you accept the updated Terms.

16. Governing law & your contract

These Terms describe the rules that apply to every account on Equisect. The specific legal entity you're contracting with, applicable governing law, jurisdiction, and any additional plan-specific terms are set out in the Order Form or subscription agreement you sign for your plan tier (Starter, Team / Institutional, Enterprise / Data Partner, or an add-on) — that signed agreement governs for your account on anything it addresses. If you haven't yet signed an Order Form (e.g. you're using a free trial), these Terms alone govern your use.
